Scope and authorized users
This Internal-Use License Agreement (“Agreement”) governs employee use of Achiewell Dolibarr–QuickBooks Sync (the “Application”). Achiewell LLC (“Achiewell”) provides the Application solely to support its internal accounting and business operations.
Only current Achiewell employees who have received appropriate authorization may use the Application. Customers, suppliers, outside accountants, contractors, and members of the public are not eligible users under this Agreement.
These terms supplement applicable Achiewell employment, confidentiality, information-security, and accounting policies. They do not create an employment contract, change employment status, or replace any rights or protections provided by law.
Limited permission to use
Subject to this Agreement and Achiewell’s authorization, an employee receives a limited, nonexclusive, nontransferable, revocable permission to use the Application for assigned Achiewell business duties.
This permission does not authorize personal use, use on behalf of another business, sublicensing, distribution, resale, or access by any other person. Achiewell may limit permission by employee role, system, company, function, or record type.
The Application must connect only to Achiewell-approved Dolibarr systems and QuickBooks Online companies. Employees may not connect personal, unrelated, or third-party company accounts without a separately approved change to the Application’s scope and these terms.
Authorized functionality
The Application supports configured exchanges of business information between Dolibarr and QuickBooks Online. Depending on enabled functions, this may include invoices, supplier bills, purchase orders, credits, payment records, and supporting customer, supplier, and item information.
Features may be enabled, restricted, or changed by authorized administrators. The Application is not a substitute for professional accounting judgment, required approvals, or reconciliation.
Permission to synchronize payment records is not authority to initiate payments, transfer money, change banking instructions, or override Achiewell’s financial approval procedures.
Employee responsibilities
Authorized employees must:
· Use assigned access: Use approved accounts and access methods; do not share credentials or allow another person to act through an assigned account.
· Follow accounting controls: Obtain required approvals and verify that records are accurate, appropriately classified, and associated with the correct business counterparty.
· Respect the workflow: Follow Achiewell’s designated system-of-record and record-creation procedures; avoid entering the same transaction independently in both systems unless the approved workflow requires it.
· Protect information: Keep credentials and business information confidential and avoid entering unnecessary sensitive information into synchronized fields.
· Check exceptions: Report duplicate records, unexpected changes, missing transactions, incorrect payment applications, or other synchronization failures promptly.
· Use authorized corrections: Obtain approval before bulk synchronization, historical migration, deletion, cancellation, reversal, or other actions that could materially affect accounting records.
An apparent successful synchronization does not eliminate the requirement to review and reconcile the resulting records.
Prohibited conduct
Employees must not bypass access controls, disable security safeguards without authorization, extract credentials for unauthorized use, access records outside their assigned duties, or use the Application for unlawful or deceptive purposes.
Employees must not distribute copies, provide external access, or use the Application to process another organization’s books. Source-code changes, configuration changes, database modifications, and deployment actions require authorization from the responsible Achiewell administrator.
These restrictions do not prohibit lawful reporting, protected employee activity, or disclosures that applicable law permits or requires.
Business records, software, and third-party services
As between Achiewell and its employees, business records handled through the Application remain under Achiewell’s control, subject to the rights of affected individuals, applicable law, and third-party agreements. Use of the Application does not transfer ownership of those records or permit employees to reuse them for personal purposes.
Achiewell retains its rights in the Application and in materials it owns or is authorized to license. Intuit, Dolibarr, and other third parties retain their respective rights in their products, services, and components.
This Agreement does not replace applicable QuickBooks Online terms, Dolibarr or other open-source licenses, or third-party service agreements. Any rights independently granted by an applicable open-source license remain governed by that license.
Privacy and operational review
Use of the Application is subject to the approved Achiewell Dolibarr–QuickBooks Sync Privacy Policy and applicable Achiewell policies. Operational and diagnostic records may be reviewed by authorized personnel for reconciliation, support, security, and compliance purposes.
Employees should use the Application only for business activities. This Agreement does not waive statutory privacy rights or authorize monitoring beyond what applicable law and Achiewell policy permit.
Availability and accounting review
Synchronization may be delayed, interrupted, or fail because of software defects, network conditions, authorization changes, third-party service limitations, or other causes. Achiewell may suspend or modify the Application for maintenance, security, compliance, or operational reasons.
Employees must not treat the Application as a guarantee that records are complete, accurate, continuously available, or compliant with every accounting or legal requirement. Required approvals, review, backups, and reconciliation remain necessary.
Nothing in this Agreement excludes obligations or liability that cannot lawfully be excluded. It does not require employees to indemnify Achiewell or make employees personally responsible for ordinary system failures.
Suspension and termination
Permission to use the Application ends when employment ends, authorization is withdrawn, or the employee no longer has a business need for access. Achiewell may suspend access promptly where necessary to protect systems or records or address suspected misuse.
Employees must stop using the Application when permission ends and return or handle company information in accordance with applicable Achiewell policies. Access removal does not automatically delete company accounting records, diagnostic records, or backups subject to retention requirements.
Changes, administration, and acknowledgment
Achiewell may revise this Agreement and communicate approved changes through an appropriate internal channel. Material changes to permitted use should be reviewed before employees continue using the affected functions.
Before access is granted, Achiewell should provide the approved Agreement and related policies and obtain acknowledgment through its established employee-policy process. Acknowledgment confirms receipt and understanding of use requirements; it does not waive nonwaivable rights or change employment terms.
